Welcome to IBEE. These Terms of Service (“Terms”) define the rights and obligations between you (“Customer”, “User”, or “you”) and:

• IBEE Solutions Private Limited (India)
• IBEE Software Solutions Inc (USA)

(collectively, “IBEE”, “we”, “us”, or “our”).

These Terms apply to your use of:

• IBEE website
• Customer portal and dashboard
• APIs and developer tools
• Cloud infrastructure services, including virtual machines, object storage, networking, and secret management

By accessing or using IBEE services, you agree to these Terms.

2. Which IBEE Entity Applies to You

Your agreement is with the IBEE entity determined by your billing country, your account registration, or the entity issuing your invoice.

IBEE entities may share operational responsibilities such as support, billing, engineering, and compliance.

3. Your Relationship with IBEE

These Terms define the relationship between you and IBEE.

We grant you a limited, non-exclusive, non-transferable right to use our services, provided you:

• Comply with these Terms
• Follow our Acceptable Use Policy (AUP)
• Comply with applicable laws

IBEE retains all rights, title, and interest in and to the services and platform.

4. Services

IBEE provides cloud infrastructure services, including:

• Virtual Machines (compute)
• Object Storage (S3-compatible)
• Networking and Load Balancing
• Secret Management
• APIs and developer tools

We may add, remove, or modify features, update APIs or infrastructure, or change service limits. We will make reasonable efforts to notify users of material changes.

5. Accounts

To use IBEE services, you must create an account, provide accurate and complete information, and maintain the security of your credentials.

You are responsible for all activity under your account and for securing API keys, tokens, and access credentials.

6. Use of Services

You agree to use IBEE services only for lawful purposes, in compliance with these Terms and policies, and in a way that does not harm IBEE or other users.

You must not misuse the platform, circumvent system limitations, or attempt unauthorized access.

You agree to pay all applicable fees and maintain valid payment methods. IBEE may offer prepaid or postpaid billing models. Failure to pay may result in suspension of services or restricted access.

9. Service Availability

We aim to provide reliable services, but we do not guarantee continuous availability or error-free operation. Interruptions may occur due to maintenance, infrastructure failures, or external dependencies.

10. Security

IBEE implements security measures such as encryption, access control systems, and monitoring. However, you are responsible for securing your workloads, applications, and credentials.

11. Suspension and Termination

We may suspend or terminate your account if you violate these Terms or AUP, fail to pay fees, or if your usage poses security or operational risk. You may terminate your account at any time.

12. Intellectual Property

All rights to IBEE services, software, and platform remain with IBEE. You may not copy, modify, or distribute IBEE software, or reverse engineer proprietary systems.

13. Disclaimer

Services are provided “as is” to the extent permitted by law. We do not guarantee specific performance outcomes, uninterrupted service, or suitability for all use cases.

14. Limitation of Liability

To the maximum extent permitted by law, IBEE is not liable for loss of profits, revenue, business interruption, or indirect damages.

15. Indemnification

You agree to indemnify IBEE against claims arising from your use of services, your content, or violations of law or policy.

16. Changes to Terms

We may update these Terms to reflect service changes, for legal reasons, or to improve clarity. Continued use of services means you accept updated Terms.
